We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

Uploading or submitting content to our site

  • submit contributions to us for inclusion on our site (such as feeds / RSS, news and content, buying guides, industry news and opinion pieces, etc),
    you must comply with the content standards set out in our acceptable use policy.

You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. If you are a consumer user, this means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

You retain all of your ownership rights in your content, but you are required to grant us and other users of our site a limited licence to use, store and copy that content and to distribute and make it available to third parties. Acceptable Use Policy

You may use our site only for lawful purposes. You may not use our site:

You also agree not to access without authority, interfere with, damage or disrupt any part of our site, any equipment or network on which our site is stored, any software used in the provision of our site or any equipment or network or software owned or used by any third party.

Interactive services

We may from time to time provide interactive services on our site, such as chat rooms or bulletin boards (“interactive services”). Where we do provide any interactive service, we will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used
(including whether it is human or technical).

We will do our best to assess any possible risks for users (and in particular, for children) from third parties when they use any interactive service provided on our site, and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks.   • Be genuinely held (where they state opinions).

  • Promote sexually explicit material.
  • Promote violence.
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
  • Infringe any copyright, database right or trade mark of any other person.
  • Be likely to deceive any person.
  • Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
  • Promote any illegal activity.
  • Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.
  • Be likely to harass, upset, embarrass, alarm or annoy any other person.
  • Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
  • Give the impression that they emanate from us, if this is not the case.
  • Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

Suspension and termination

We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of our site. When a breach of this policy has occurred, we may take such action as we deem appropriate.

Failure to comply with this acceptable use policy constitutes a material breach of the terms of use upon which you are permitted to use our site, and may result in our taking all or any of the following actions:

  • Immediate, temporary or permanent withdrawal of your right to use our site.
  • Immediate, temporary or permanent removal of any posting or material uploaded by you to our site.
  • Issue of a warning to you.
  • Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.

We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.

Rights you licence

When you upload or post content to our site or submit content to us for inclusion on our site as the case may be, (including for example product reviews and ratings, or feeds / RSS, news and content, buying guides, industry news and opinion pieces, as applicable), you grant to us the following licences:

  • a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to us to use, reproduce, distribute, display, prepare derivative works of, and perform such content whether or not for payment in connection with:

  • a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to third parties (including, for example, other users of our site, and our business partners, affiliates, third party retailers and advertisers) to use, reproduce, distribute, display, prepare derivative works of, and perform such content for their own purposes, or in accordance with the functionality provided by our site, in all forms of media and whether or not for payment.

Please note that the licences referred to in this section will not expire when the relevant content is deleted from our site.

Advertising Standards

Although reasonable efforts have been made to ensure that material that infringes third party IPR will not be present on our site or used in connection with it, the risk cannot be entirely eliminated.

In particular, we recognise that from time to time the following may occur:

  • third party IPR may be used as a keyword within Pricesearcher campaigns by one of our third party suppliers without our sanction; or
  • third party IPR may be used within Pricesearcher advertising or marketing materials (whether online or offline) by one of our third party suppliers without our sanction; or
  • material published on our site may feature third party IPR as part of an agreed affiliation scheme; or
  • third party IPR may be presented on our site (either on its own or in conjunction with other third party IPR) in a way which the owner of the third party IPR in question is not happy with.

If you are concerned that you have found material used on or in connection with our site for which you have not given permission, or which is in breach of any third party IPR (and in terms of copyright law is not covered by any limitation or exception available at law), please contact us in writing immediately, stating the following:

  • Your full contact details.
  • Full details of the material to which your concern relates.
  • The exact location (giving the full URL) where you found the material in question.
  • Provide proof that you are the owner (or duly authorised representative of the owner) of the third party IPR in question, together with a written statement to that effect.
  • The specific reason for your request, including but not limited to any alleged breach of third party IPR.

In the event that we are notified by a retailer or third party IPR owner of any of the above, we will invoke our take down procedure as follows:

  1. We will acknowledge receipt of the take down request by email or letter (usually within 10 working days of receiving it), and we will make an initial assessment of the validity and plausibility of the matter complained of.
  2. If we decide that the matter referred to us constitutes a valid complaint, we will temporarily remove the material in question from our site pending an agreed solution. We reserve the right where necessary to seek professional legal advice on the matter.
  3. Where relevant, we will contact any contributor or other third party who supplied or made available the material in question. They will be notified that the material is subject to a take down request, and of the grounds on which the take down request is made, and will be encouraged to address the issues raised in the take down request.
  4. We will use reasonable endeavours (in conjunction with the third party IPR owner, and with any contributor or other third party where relevant) to resolve the issue swiftly and amicably and to the satisfaction of all parties, with the following possible outcomes:
    • The material being replaced on our site unchanged;
    • The material being replaced on our site with such changes as we, acting reasonably, regard as fair and necessary;
    • The material being replaced on our site with such changes as we may agree this the third party IPR owner;
    • The material being permanently removed from our site.
  5. If we are unable to agree a mutually satisfactory solution, the material will remain unavailable until such time as a resolution has been reached.
  6. Please note that although all complaints will be investigated, each complaint will be judged on its merits (for example in the case of serial, vexatious or spurious complaints).

Applicable law

These terms of use, their subject matter and formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute arising from them or from your use of our site.
